APPLICABLE LAW AND JURISDICTION

As regards Kramer International Law, P.C., the terms and conditions of these Terms of Use/Disclaimers shall be construed and enforced in accordance with the laws of the State of New York without reference to its conflict of law provisions. Each of the parties hereto irrevocably consents to the exclusive jurisdiction and venue of any state or federal court located in New York County, New York (or in any court in which appeal from such courts may be taken) in connection with any matter based upon or arising out of these Terms of Use/Disclaimers or the matters contemplated herein, agrees that process may be served upon them in any manner authorized by the laws of the State of New York for such persons, and waives and covenants not to assert or plead any objection which they might otherwise have to such jurisdiction, venue or process.

As regards Kramer International Law Inc., the laws of the province of Quebec and the laws of Canada applicable therein shall govern use of the Websites and the interpretation, validity and effect of these Terms of Use/Disclaimers, notwithstanding any conflict of laws provisions or your domicile, residence or physical location. You hereby consent and submit to the exclusive jurisdiction of the courts of the province of Quebec in any action or proceeding related to the Websites, and agree not to commence any such action or proceeding except in Montreal, Quebec, Canada.
